1. About us
These terms apply to your use of this website and to services supplied by Solution Explora, a company registered in [England and Wales / Scotland] under company number [number], with its registered office at [address]. Contact: [email] · [phone]. [VAT number, if registered.]
By using our website or engaging us for services, you agree to these terms. If you do not agree, please do not use the website or our services.
2. Using our website
You may use this website for lawful purposes only. You must not misuse it, attempt to gain unauthorised access, introduce viruses or harmful code, or copy or scrape its content without our written permission.
We aim to keep the information accurate and up to date, but it is general information and not professional advice. We do not guarantee the site will always be available or error-free. Links to third-party websites are provided for convenience, and we are not responsible for their content.
3. Our services
We provide website development, mobile app development, custom software development, SEO, digital marketing, content writing and graphic design. The exact scope of each project is set out in a written quote, proposal or statement of work (“the Proposal”). A contract is formed when you accept the Proposal in writing (including by email) or when we begin work with your authorisation, whichever is earlier.
4. Quotes, fees and payment
- Each Proposal is based on your requirements and remains valid for [30] days unless stated otherwise.
- Prices are in pounds sterling (GBP) and exclude VAT unless stated.
- Unless the Proposal says otherwise, we require a deposit of [X]% before work starts, with the balance due [on milestones / on completion / within 14 days of invoice].
- Invoices are payable within [14] days of the invoice date.
- If you pay late, we may charge statutory interest and reasonable debt-recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, and may pause work until the account is settled.
- Ongoing services (such as monthly SEO, marketing or maintenance) are billed [monthly in advance].
5. Your responsibilities
You agree to give us accurate information, content, images, logins and approvals when we reasonably need them. You confirm you have the right to use any materials you give us and that they do not infringe anyone’s rights. Delays in providing these may delay the project and may affect costs.
6. Timelines
Any dates in a Proposal are estimates unless we expressly agree otherwise. We will work to meet them, but they depend on timely feedback and materials from you.
7. Revisions and changes
Each Proposal includes [two] rounds of revisions per deliverable. Work beyond the agreed scope, or later changes to approved work, will be quoted separately, and we will agree the cost with you before proceeding.
8. Intellectual property
- Once you have paid in full, you own the final deliverables created specifically for you (such as your website design, custom code, copy and graphics), except for the items below.
- We keep ownership of our pre-existing tools, code libraries, frameworks and methods, and we grant you a non-exclusive, perpetual licence to use them as part of your deliverables.
- Third-party items (such as themes, plugins, fonts, stock images and software) remain subject to their own licences, and you are responsible for any ongoing licence fees.
- Unless you ask us not to in writing, we may show the finished work and your business name in our portfolio and marketing.
9. Third-party services
Your project may rely on services we do not control, such as hosting, domain registrars, plugins, payment gateways, app stores and advertising platforms (for example Google and Meta). Their rules, fees and availability are outside our control, and we are not liable for changes or outages they cause.
10. SEO and marketing results
Search engines and advertising platforms change their rules and algorithms often, and results depend on many factors outside our control. We use professional skill and proven methods, but we do not guarantee specific rankings, traffic, leads or sales.
11. Support after launch
We will fix defects in our work reported within [30] days of delivery at no extra charge. Ongoing maintenance, updates and support are available under a separate agreement or plan. We are not responsible for issues caused by third-party changes, hacking, or edits made by anyone else to the delivered work.
12. Confidentiality
Each party will keep the other’s confidential information private and use it only for the project, unless disclosure is required by law.
13. Data protection
We handle personal data in line with the UK GDPR and the Data Protection Act 2018. Please see our Privacy Policy for how we collect and use personal information through this website. Where we process personal data on your behalf as part of a project, we will do so under your instructions and agree a data processing arrangement if required.
14. Cancellation and termination
Either party may end a project by giving [14] days’ written notice. You will pay for all work completed and costs incurred up to the termination date, and deposits are [non-refundable / refundable only to the extent work has not begun]. Either party may end the contract immediately if the other materially breaches it and fails to fix the breach within [14] days of written notice. Clauses that by nature should continue (such as payment, intellectual property, confidentiality and liability) will survive termination.
15. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything that cannot lawfully be limited.
Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, data or goodwill. Our total liability for any claim arising from a project is limited to the fees you paid us for that project [in the 12 months before the claim].
16. Events beyond our control
We are not liable for delay or failure caused by events outside our reasonable control, such as power or internet failures, third-party outages, strikes, severe weather or government action.
17. Changes to these terms
We may update these terms from time to time. The version on our website on the date you engage us (or the date you use the website) applies.
18. General
- Entire agreement: These terms and the Proposal are the whole agreement between us.
- Severance: If any part is found unenforceable, the rest still applies.
- No waiver: Failing to enforce a right does not mean we give it up.
- Assignment: You may not transfer your rights without our written consent.
- Third parties: Nobody else has rights to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
19. Governing law
These terms and any dispute arising from them are governed by the laws of [England and Wales], and the courts of [England and Wales] have exclusive jurisdiction.
